1. Appointment & Good Faith
All agent engagements are non-exclusive. Agents act solely as introducers and have no authority to bind Maslow’s. All parties agree to act in good faith and with commercial integrity.
Each Maslow’s House is owned by a different company. Each agent’s contract is therefore with the relevant owner for that location as set out below, or any other name and details advised to each agent at the relevant time. In these terms and conditions, the term “Maslow’s” means the relevant company that owns the particular location for that introduction.
2. Introductions, Lead Acceptance and Viewings
The identity of leads must be submitted clearly and in writing to Maslow’s. A lead will be “accepted” by written confirmation from Maslow’s that a lead is to be treated as belonging to a particular agent and has not previously been introduced to Maslow’s through an alternative channel, as confirmed by Maslow’s at the time of introduction.
Leads may be introduced on a confidential or “no names” basis. If Maslow’s is already working with the same lead through another broker, agent, or direct relationship, Maslow’s will not accept that lead unless otherwise agreed in writing.
Following acceptance of a lead, a tour of the relevant location must be booked by the agent. If two agents submit the same lead, acceptance will be attributed to the agent who completes a viewing.
3. Lead Loss
If a lead does not sign a membership contract or licence within three months of a viewing, the agent will lose their position on that lead by Maslow’s unless otherwise agreed between Maslow’s and the introducing agent. No fee will then be payable in relation to that lead unless otherwise agreed in writing.
4. Fees
Unless otherwise agreed in writing, a fee will equal 10% of the basic occupational licence or membership fees for a lead’s initial period of occupation, up to a maximum of 12 months’ worth. Fees are inclusive of all expenses incurred by an agent.
5. Adjustments, Defaults & Expansions
If a client defaults, terminates early, or vacates within the first 12 months of their licence or membership contract, Maslow’s reserves the right to claw back commission on a pro-rata basis in relation to any unpaid licence or membership fees. If a client expands during their initial 12-month period, the agent will be entitled to additional commission at the agreed rate, calculated only up to the end of the original 12-month term.
6. Invoicing & Payment
All fees will become due from the date that a lead signs a binding membership or occupational contract and pays their initial licence or membership deposit. Fees will be paid within 30 days of a valid VAT invoice being issued addressed to the correct House owner. Valid invoices will be dated from the date the deposit is received. Maslow’s will not process payment against invoices that have not been properly issued.
7. No Circumvention
Maslow’s shall not deliberately circumvent an agent in order to avoid payment of agreed fees.
8. Term & Termination
An agent’s engagement may be terminated by either party with 30 days’ written notice. Maslow’s may terminate an engagement immediately in the event of breach, misconduct, or insolvency by an agent. No fees will be paid in relation to any leads after the termination date.
9. Confidentiality
Both parties shall keep all commercial and client information confidential.
10. Compliance
All agents shall comply with all applicable laws, including anti-bribery and data protection legislation.
11. Independent Contractor
An agent acts as an independent contractor of Maslow’s and is not an employee, partner, or representative of Maslow’s.
12. Indemnity
Each agent shall indemnify Maslow’s against any losses arising from unauthorised representations, breaches of these terms or breaches of law.
13. Governing Law
These terms are governed by the laws of England and Wales, and any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
